1. Introduction

These Platform Terms of Service (“Terms”) govern your access to and use of the WiCool website, mobile application, digital platform, customer account, ordering services, membership services, payment functionality, delivery services and related technology (collectively, the “Platform”).

The Platform is operated by Black Dragon Nigeria Limited (“WiCool”, “we”, “us” or “our”).

By accessing, registering for, or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

These Terms apply to customers, members, visitors, corporate customers and other users of the Platform. Separate agreements may apply to WiCool franchise partners, Ice Hub operators, employees, delivery partners and other business partners.

2. WiCool Platform

WiCool operates a technology-enabled network connecting customers with participating WiCool Ice Hubs and related services.

The Platform may allow users to:

  • Create and manage a customer account;
  • Locate participating Ice Hubs;
  • Order ice and other approved products;
  • Select delivery or hub collection;
  • Select a preferred Ice Hub;
  • Make payments online;
  • Place orders and pay at an Ice Hub;
  • Track orders;
  • Receive digital receipts;
  • Purchase or manage memberships;
  • Earn and redeem rewards;
  • View order history;
  • Receive promotions and offers;
  • Request customer support; and
  • Access other services introduced by WiCool from time to time.

WiCool may add, remove, modify or discontinue Platform features at any time.

3. Eligibility

You must provide accurate information when creating an account.

Unless otherwise specified by WiCool:

  • You must be legally capable of entering into a binding agreement;
  • You must provide a valid mobile telephone number;
  • You must maintain the confidentiality of your account credentials;
  • You must not create an account using another person’s identity without authorization; and
  • You must not use the Platform for unlawful purposes.

Where a user is below the applicable age of legal capacity, use of the Platform must be undertaken with the involvement and consent of a parent or legal guardian where required by applicable law.

4. Customer Accounts

A customer account may be associated with a unique WiCool customer identifier (“Customer ID”).

Your Customer ID may be linked to information including:

  • Name;
  • Mobile number;
  • Email address;
  • Delivery addresses;
  • Membership information;
  • Order history;
  • Payment records;
  • Preferred Ice Hub;
  • Loyalty activity; and
  • Other information necessary to provide Platform services.

You are responsible for ensuring that your account information remains accurate.

You must promptly notify WiCool if you believe your account has been accessed without authorization.

5. Orders

5.1 Creating an Order

Customers may place orders through the Platform for products and services available from participating Ice Hubs.

An order may include details such as product selection, quantity, price, preferred hub, delivery or collection method, requested time, payment method, and other applicable charges.

Submitting an order constitutes a request to purchase. An order is not necessarily accepted until WiCool or the relevant Ice Hub confirms the order.

5.2 Order Confirmation

Where applicable, the Platform will provide an Order ID or other electronic confirmation.

The Order ID is the primary reference for the transaction. Customers should retain their Order ID until the order has been completed.

5.3 Order Changes

An order may be modified before fulfillment where the Platform or relevant Ice Hub permits the requested change. Any change affecting quantity, price, delivery charges or other material terms may require customer confirmation.

6. Pay-at-Hub Orders

WiCool may permit customers to place an order through the Platform and pay at the selected Ice Hub.

Under this arrangement:

  1. The customer creates an order through the Platform;
  2. The Platform generates an Order ID;
  3. The order may be reserved for the applicable period;
  4. The customer proceeds to the selected Ice Hub;
  5. The customer presents the Order ID or QR code;
  6. The Ice Hub verifies the order;
  7. The customer pays using an approved payment method;
  8. The Ice Hub records the payment against the Platform order; and
  9. The order is fulfilled and marked completed.

Payment may be made through cash, POS, bank transfer or another payment method permitted by WiCool and/or the relevant Ice Hub.

Payment outside the Platform does not make the transaction an offline WiCool transaction. A Platform order remains a Platform transaction even where payment is completed at an Ice Hub.

7. Walk-In Transactions

Participating Ice Hubs may accept walk-in customers where permitted by WiCool.

Where a customer purchases through a WiCool Ice Hub without first creating a Platform order, the Ice Hub may be required to record the transaction on the Platform.

WiCool may request the customer’s mobile number, Customer ID, QR code or other information necessary to associate the transaction with the customer’s account.

Customers may be offered benefits for registering or completing transactions through the Platform, including digital receipts, loyalty rewards, membership benefits, order history, promotional offers, and faster reordering.

8. Customer and Transaction Records

WiCool maintains electronic records of Platform activity, including customer identity, order creation, order confirmation, hub assignment, payment status, payment method, fulfillment, delivery, cancellation, refunds, customer communications, and other transaction events.

The Platform records are intended to provide an auditable record of transactions conducted through the WiCool network. Where appropriate and subject to applicable law, Platform records may be used to resolve disputes concerning orders, payments, fulfillment, cancellations, and refunds.

9. Ice Hub Fulfillment

WiCool operates a network of participating Ice Hubs. An Ice Hub may be responsible for producing or holding inventory, preparing orders, confirming payment, fulfilling collection orders, preparing delivery orders, managing local customer service, and other operational responsibilities assigned by WiCool.

The Ice Hub fulfilling an order may differ from the customer’s preferred Ice Hub where operational circumstances require reassignment and the Platform permits such reassignment.

10. Product Availability

Products displayed on the Platform are subject to availability. WiCool or an Ice Hub may be unable to fulfill an order because of insufficient inventory, production interruptions, equipment failure, power interruptions, delivery limitations, operational constraints, weather or environmental conditions, safety considerations, or other circumstances beyond reasonable control.

Where an order cannot be fulfilled, WiCool may offer an alternative, reschedule fulfillment or issue an applicable refund.

11. Prices

Prices displayed on the Platform may include or exclude applicable taxes, delivery charges or other fees, as indicated at checkout. WiCool may change prices at any time.

The price applicable to an order will generally be the price displayed when the order is confirmed, subject to correction of obvious errors and any permitted changes communicated before fulfillment.

12. Payments

The Platform may support one or more payment methods including debit/credit cards, bank transfers, digital wallets, POS payments, and cash payments at participating Ice Hubs.

Where online payments are processed by a third-party payment provider, the provider’s applicable terms may also apply. WiCool may refuse, suspend or cancel a transaction where payment is unsuccessful, reversed, fraud is suspected, or information is inaccurate.

13. Payment Reconciliation

Transactions conducted through the WiCool network may be subject to automated and manual reconciliation. WiCool may reconcile Platform orders, online payments, POS transactions, cash transactions, bank transfers, refunds, inventory movement, production records, fulfillment records, and other relevant information.

For franchise and Ice Hub operations, the Platform serves as the primary system of record for transactions processed through the WiCool network.

14. Cancellations

Customers may cancel an order where cancellation is available through the Platform and the order has not reached a stage where cancellation is no longer possible. Certain orders may become non-cancellable once production has commenced, the order has been prepared, or dispatch has occurred.

15. Refunds

Refunds may be provided where an order is cancelled in accordance with the applicable policy, WiCool cannot fulfill a confirmed order, a duplicate payment has occurred, or a refund is otherwise required by applicable law.

16. Delivery

Where delivery is available, the Platform may provide estimated delivery times. Delivery estimates are not guaranteed unless expressly stated as a guaranteed service level. Customers must provide accurate delivery information and ensure the location is accessible.

17. Membership

WiCool may offer membership programs that provide benefits such as member pricing, loyalty rewards, priority fulfillment, promotions, delivery benefits, and reordering functionality. Membership benefits, pricing, eligibility and duration may vary.

18. Loyalty and Promotional Programs

WiCool may offer loyalty points, credits, discounts, referral rewards or promotional benefits. Rewards are not cash, are non-transferable, and may expire.

19. Customer Relationship and Platform Data

A customer using the WiCool Platform may interact physically with a participating Ice Hub while maintaining a digital relationship with WiCool through the Platform. Customer information collected through WiCool channels will be handled in accordance with WiCool’s Privacy Policy and applicable data protection laws. Participating Ice Hubs may receive access to customer information reasonably necessary to fulfill orders and operate the franchise.

20. Communications

By creating an account or placing an order, you may receive service-related communications including order confirmations, payment confirmations, delivery updates, receipts, account security messages, and support communications.

21. Acceptable Use

You must not use the Platform for unlawful purposes, provide false information, impersonate another person, interfere with Platform security, introduce malicious software, scrape data, circumvent transaction controls, or abuse promotional programs.

22. Fraud and Abuse

WiCool may investigate suspected fraud, abuse, payment irregularities, transaction manipulation, or other violations. WiCool may suspend accounts, cancel orders, restrict access, withhold promotional benefits, or require additional verification.

23. Intellectual Property

The Platform and its contents, including WiCool trademarks, logos, designs, software, interfaces, content, and code, are owned by or licensed to WiCool and are protected by applicable intellectual property laws.

24. User Content

Where the Platform permits customers to submit reviews, comments, or photographs, the customer must ensure that the content is accurate, lawful, and does not infringe intellectual property rights.

25. Third-Party Services

The Platform may integrate with third-party services including payment processors, banks, POS providers, delivery companies, and mapping providers. WiCool is not responsible for independent third-party services except to the extent required by applicable law.

26. Platform Availability

WiCool will use reasonable efforts to maintain Platform availability but does not guarantee uninterrupted or error-free operation. The Platform may be temporarily unavailable because of maintenance, network failures, or upgrades.

27. Disclaimers

To the extent permitted by law, the Platform is provided on an “as available” basis. WiCool does not guarantee that the Platform will always be available or that every transaction will be completed without interruption.

28. Limitation of Liability

To the maximum extent permitted by applicable law, WiCool will not be liable for indirect, incidental, special or consequential losses arising from your use of the Platform.

29. Indemnity

To the extent permitted by applicable law, you agree to indemnify WiCool against claims, losses, liabilities, damages and expenses arising from your unlawful use of the Platform or breach of these Terms.

30. Suspension and Termination

WiCool may suspend or terminate access to the Platform where these Terms are breached, fraud is suspected, or account security is compromised. Customers may stop using the Platform at any time.

31. Changes to These Terms

WiCool may update these Terms from time to time. Your continued use of the Platform after the effective date of updated Terms constitutes acceptance of the updated Terms.

32. Privacy

WiCool’s collection and use of personal information is governed by the WiCool Privacy Policy, which explains what information we collect, how it is used, and client rights.

33. Complaints and Dispute Resolution

Customers should first contact WiCool Customer Support regarding complaints relating to orders, payments, delivery, or membership. WiCool will make reasonable efforts to resolve complaints promptly.

34. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria, unless otherwise required by applicable law.

35. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will continue in full force and effect.

36. No Waiver

A failure by WiCool to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision later.

37. Entire Agreement

These Terms, together with the Privacy Policy and other policies on the Platform, constitute the entire agreement governing your use of the Platform.
